Welcome to Pass with PASS, LLC. These Terms of Service ("Terms") govern your use of our website at www.passwithpass.com (the "Site"), our TestReady mobile application available on iOS and Android (the "App"), and all related products and services, including online courses, study guides, tutoring, and continuing education programs (collectively, the "Services"). By accessing or using the Site, the App, or any of our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
**1. Eligibility**
You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services. If you are under 18, you may use the Site and App only with the permission of a parent or guardian. By using the Services, you represent that you have the legal capacity to enter into this agreement.
**2. Account Registration**
Certain Services, including the TestReady App, may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update your information as needed. Pass with PASS, LLC reserves the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.
**3. Digital Products and Refund Policy**
All digital product sales are final because you receive immediate access upon purchase. This includes courses, study guides, and any content purchased through the Site or the App.
In-app purchases made within the TestReady App are processed through Apple (App Store) or Google (Google Play) and are subject to the refund policies of those respective platforms. Pass with PASS, LLC does not directly process refunds for in-app purchases. Please contact Apple or Google for in-app purchase refund requests.
We may, at our sole discretion, offer exchanges or credits toward other products for purchases made through the Site.
Refunds for physical products (such as paperbacks) purchased through Amazon must be requested through Amazon following their refund policies.

**4. Use at Your Own Risk**
Pass with PASS, LLC provides educational content for informational purposes only. We do not guarantee any particular results, including but not limited to passing an exam, achieving a specific score, or obtaining a certification. You are solely responsible for how you use the content.
To the fullest extent permitted by law, you agree that your use of our products and Services, including the TestReady App, is at your sole risk.
**5. Limitation of Liability**
To the maximum extent permitted by law, Pass with PASS, LLC and its affiliates will not be liable for:
Any indirect, incidental, special, or consequential damages.
Any damages related to loss of data, test results, exam failure, loss of revenue, or business interruption.
Any technical issues, website or app outages, data loss within the App, or errors beyond our reasonable control.
Our total liability for any claim related to your use of the Services shall not exceed the amount you paid for the product or service in question.
**6. Intellectual Property Rights**
All content, study guides, videos, courses, app interfaces, logos, and branding are the intellectual property of Pass with PASS, LLC and are protected under copyright and trademark laws. This includes all content within the TestReady App, such as flashcards, quiz questions, clinical scenarios, animated videos, and any other educational materials.
You may not copy, reproduce, share, sell, or distribute our content without written permission.
Unauthorized use of our intellectual property will result in legal action.
**7. User Responsibilities and Prohibited Uses**
You agree not to use our Services, including the Site and App:
For unlawful purposes.
To resell, copy, or distribute our content without authorization.
To upload or transmit malicious code, viruses, or harmful software.
To attempt to hack, interfere with, or disrupt our website, App, servers, or other users.
To reverse engineer, decompile, or disassemble the TestReady App or any of its components.
To share, transfer, or allow others to access your account or purchased content.
**8. Payment Terms**
By purchasing our products, you agree to provide current, complete, and accurate payment and account information. Failure to pay for products or fraudulent payment activity may result in the suspension or termination of your account.
In-app purchases within the TestReady App are processed and billed through Apple (App Store) or Google (Google Play). Pass with PASS, LLC does not directly collect or store payment card information for in-app transactions. All billing inquiries related to in-app purchases should be directed to the respective platform.
**9. Third-Party Services**
Our Services are hosted by and delivered through third-party platforms, including Shopify, Thinkific, Amazon, Apple (App Store), and Google (Google Play). We are not responsible for the actions, terms, or content of these third parties. Your use of these third-party services is subject to their respective terms and privacy policies.
**10. Electronic Communications**
By visiting the Site, using the App, or sending emails to Pass with PASS, LLC, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional emails at any time.
**11. Disclaimer of Warranties**
The Services, including the Site, App, and all content, are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site or App will be uninterrupted, error-free, or free of viruses or other harmful components.
**12. Indemnification**
You agree to indemnify, defend, and hold harmless Pass with PASS, LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including attorney's fees) arising out of your use of our Services, violation of these Terms, or infringement of third-party rights.
**13. Arbitration and Class Action Waiver**
All disputes arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration under the Federal Arbitration Act. The arbitrator's decision shall be final. You waive the right to participate in class actions or representative proceedings. Arbitration will be conducted on an individual basis.
**14. Modifications to Services and Pricing**
We reserve the right to modify or discontinue any product, service, feature, or pricing at any time without notice. This includes changes to the TestReady App, its features, content, or subscription offerings. We will not be liable to you or any third party for any modifications or price changes.
**15. Termination and Access Restriction**
Pass with PASS, LLC reserves the right to terminate or restrict your access to the Site, App, or any Services at any time without notice for any reason, including violation of these Terms.
**16. Governing Law**
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be handled in the courts of St. Johns County, Florida.
**17. Changes to These Terms**
We may update these Terms from time to time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use of the Services constitutes your acceptance of the revised Terms.
